• You own the final deliverables upon full payment
• We retain rights to underlying frameworks, tools, and methodologies

Payment Terms

1. Pricing and Billing

Service pricing is as specified in your service agreement or on our website. We reserve the right to modify pricing with 30 days' notice.

2. Payment Methods

3. Payment Terms

Service Level Agreements

We strive to maintain 99.9% uptime for our SaaS services, excluding scheduled maintenance and force majeure events.

We provide technical support during business hours (Monday-Friday, 9 AM - 6 PM PST) for active service subscribers.

3. Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed with minimal notice.

4. Service Modifications

We may modify or discontinue Services with reasonable notice. We will not materially reduce functionality without prior consent.

Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Limitation of Liability

1. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

2. Limitation of Damages

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

3. Maximum Liability

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

4. Exceptions

Some jurisdictions do not allow the limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Syntrex and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide to us

Termination

1. Termination by You

You may terminate your use of our Services at any time by providing written notice and following our cancellation procedures.

2. Termination by Us

We may terminate or suspend your access to our Services immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay required fees
• Pose a security risk to our Services or other users

3. Effect of Termination

Upon termination, your right to use our Services ceases immediately. We may delete your data after a reasonable period, subject to legal and contractual obligations.

Governing Law and Disputes

1. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

2. Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India.

3. Jurisdiction

Any legal action or proceeding shall be brought exclusively in the courts of West Bengal, India.

General Provisions

1. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Syntrex.

2. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

3. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

4. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

5. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Providing notice through our Services

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms.
